Biography

Jean-François Séguin is a partner in the Emerging Tech, Private Equity & Venture Capital and Corporate/M&A groups at Fasken. He advises high-growth companies with a particular focus on fintech and healthtech, as well as institutional investors on M&A transactions, equity financings, joint ventures and a wide range of other corporate matters. He is also a strategic advisor to startups wishing to raise capital, build administrative functions and/or expand internationally.

Prior to rejoining Fasken (where he started his career), Jean-François was Executive Vice President, Chief of Staff and General Counsel at Dialogue Technologies, a fast-growing digital health company based in Montreal. While at Dialogue, he also acted as Managing Director of Dialogue Deutschland GmbH in Munich and as a Director of Helios Dialogue GmbH, a Berlin-based joint venture with Europe’s largest private healthcare group. He managed Dialogue’s $40m Series B financing co-led by CDPQ and Holtzbrinck Ventures as well as Dialogue’s acquisition of DXA, a medical triage technology company leveraging artificial intelligence.

Previously, Jean-François was a Vice President in the investment banking team of Rothschild & Co and a Senior Associate in the private equity team of Clifford Chance LLP in London and in the Middle East. During those years, he worked on numerous cross-border transactions across a variety of industries and geographies such as the sale by Network Rail of its UK property business to Blackstone and Telereal for $2.4bn, the sale by SAB Miller of its Eastern European business to Japanese brewer Asahi for $10.7bn, the acquisition by General Electric of Alstom’s power and grid businesses for $18bn, the $1.3bn investment in Korean conglomerate POSCO by the Public Investment Fund of Saudi Arabia, the acquisition of Unilode by Swedish private equity powerhouse EQT from Brambles for $170m and the acquisition by Actis (a leading emerging markets investor) of renewable energy and oil & gas projects in Egypt, Senegal and Nigeria.

Jean-François started his career with Fasken after articling with the firm and spending a summer at the firm’s London office. His practice focused on private and public M&A. Representative transactions on which he worked on at Fasken includes advising: Canmarc REIT on its hostile takeover defense and subsequent sale to Cominar REIT for $904.4m, Héroux-Devtek on the sale of its Aerostructure and Industrial Products operations to Berkshire Hathaway’s subsidiary Precision Castparts Corp for $300m and Cossette on its hostile takeover defense and subsequent sale to Connecticut-based private equity fund Mill Road Capital for $115m.

Jean-François has been actively involved in the community and has led major fundraising initiatives for the arts and cancer research. He currently is a member of the Board of Directors and the Executive Committee of the Montreal Cancer Institute, an organization supporting cutting-edge fundamental and clinical research on cancer. He is also a member of the Board of Directors of the Armand Frappier Foundation. He previously served on the Boards of Directors of the Montreal Opera and MUTEK (an international festival blending music and technology).

Jean-François studied law and business at New York University and Université de Sherbrooke. He was a David Rockefeller Fellow at the Trilateral Commission, a scholar at the Center for Strategic and International Studies in Washington DC and also studied at the China University for Political Science and Law in Beijing.
